General Terms & Conditions

These General Terms and Conditions (GTC) apply to all business relationships between EraVend GmbH (hereinafter "EraVend") and its customers. Deviating conditions of the customer are not recognized unless EraVend expressly agrees to their validity in writing.

Offers from EraVend are non-binding. A contract is only concluded upon written order confirmation or upon delivery of the goods. Verbal side agreements require written confirmation.

All prices are net plus the statutory value-added tax. Payments are due within 30 days of the invoice date without deduction. In the event of late payment, default interest of 9 percentage points above the base rate will be charged.

Delivery dates are only binding if they have been confirmed in writing by EraVend. Partial deliveries are permitted insofar as they are reasonable for the customer. Risk passes to the customer upon handover to the shipping agent or carrier.

EraVend warrants that the delivered products are free from material and manufacturing defects. The warranty period is 24 months from delivery. In the case of justified complaints, EraVend will, at its discretion, repair or provide replacement.

EraVend is liable without limitation for damages arising from injury to life, body, or health that are based on an intentional or negligent breach of duty. For other damages, EraVend is only liable in cases of intent and gross negligence.

The delivered goods remain the property of EraVend until full payment of all claims. The customer is entitled to resell the goods in the ordinary course of business but hereby assigns all claims arising from the resale to EraVend.

EraVend processes personal data of the customer for contract processing and fulfillment. Further information on data protection can be found in our privacy policy.

German law applies excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is the registered office of EraVend. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
